Flowpad End User License Agreement and AI Acknowledgment
License terms for individuals who install or use the Flowpad desktop application and related local software

This End User License Agreement and AI Acknowledgment (the "EULA") is between the individual installing or using Flowpad ("you") and LANGWARE INC., a Delaware corporation ("Langware"). LANGWARE INC. is the default licensing entity for Flowpad. If an applicable Order Form or separately signed customer agreement expressly identifies LANGWARE LABS LTD, an Israeli company, as the contracting or licensing entity for Flowpad, "Langware" means LANGWARE LABS LTD for that agreement. LANGWARE INC., LANGWARE LABS LTD and their licensors may enforce provisions expressly intended for their protection.
By clicking "I Agree," installing, launching or using proprietary portions of Flowpad, you agree to this EULA. If you use Flowpad for an organization, you confirm that you are authorized to use it for that organization and must follow the organization’s applicable agreement and policies. If you do not agree, do not install or use proprietary portions of Flowpad.
1. Flowpad and Agreement Structure
Flowpad is a local-first software platform that may include a desktop application, local services, optional hosted cloud and collaboration features, APIs, integrations, updates and documentation. Some components are open source and some features or services may be proprietary or subject to separate customer, cloud, API or third-party terms.
If your organization has a signed agreement with Langware, that agreement controls to the extent of conflict. Open Source Components are governed by their applicable open-source licenses. This EULA does not reduce rights granted under those licenses.
2. License Grant
Subject to this EULA, Langware grants you a limited, non-exclusive, non-transferable and non-sublicensable license to download, install and use the object-code version of proprietary Flowpad software on devices you control, solely for lawful personal or internal business purposes and within applicable account, plan, device and usage limits. This license continues only while you comply with this EULA and any applicable customer agreement.
3. Open Source Components
Flowpad includes or is distributed with Open Source Components. The applicable license files and third-party notices govern those components. If an open-source license grants rights broader than this EULA, that license controls for the relevant component. Langware trademarks, hosted services, proprietary add-ons, credentials, support and other materials are not licensed under an open-source license unless expressly stated.
4. Permitted Use and Restrictions
Except as allowed by applicable law or an open-source license, you may not:
- Copy, sell, rent, lease, sublicense, distribute or commercially exploit proprietary Flowpad software except as expressly authorized.
- Reverse engineer, decompile, disassemble or attempt to derive proprietary source code.
- Remove or obscure copyright, trademark, attribution, license or proprietary notices.
- Circumvent security, authentication, entitlement, usage, rate or technical controls.
- Use Flowpad to violate law, infringe rights, spread malicious code, compromise systems or mislead others.
- Use third-party integrations, messaging services, plugins or accounts contrary to their terms, policies or authorization requirements.
- Use AI outputs without appropriate human review where errors could create material legal, medical, financial, safety or other harm.
5. Accounts Devices and Security
You are responsible for safeguarding devices, credentials, access tokens, API keys and connected accounts used with Flowpad. Do not share credentials outside supported access controls. Promptly notify your organization and Langware of suspected unauthorized access. Your organization may administer, monitor, restrict or remove access to organization-managed accounts and deployments.
6. Local First Data Choices
Flowpad is designed to support local and customer-controlled operation. Depending on configuration, content may remain on your device, move through a Git environment selected by you or your organization, remain on customer-managed infrastructure, or be transmitted to Langware-hosted cloud features. You are responsible for understanding the selected deployment and your organization’s configuration. Do not enable sharing, cloud or integration features unless authorized.
7. Customer Content Inputs and Outputs
You or your organization retain applicable rights in prompts, files, code, workflows, messages and other content submitted to Flowpad. You authorize Langware and relevant service providers to process that content only as necessary to provide features you or your organization enable, subject to the applicable customer agreement and Privacy Policy. Outputs may not be unique and may be similar to outputs generated for others. You are responsible for reviewing and using outputs lawfully and appropriately.
8. AI Acknowledgment
Flowpad may connect to or facilitate use of artificial-intelligence and machine-learning systems. You acknowledge that:
- AI outputs are probabilistic and may be inaccurate, incomplete, outdated, offensive, insecure or unsuitable.
- Outputs do not constitute legal, medical, financial or other professional advice.
- You must independently verify outputs, code, commands, tool actions and recommendations before relying on or executing them.
- AI agents may read or change files, run commands, call tools or interact with connected systems within the permissions you grant.
- You are responsible for permission settings, supervision, approvals, backups and consequences of actions you authorize.
- You must not submit sensitive or regulated data unless authorized and the applicable deployment and agreement support it.
9. Third-Party Models Services and Integrations
Flowpad may connect to third-party AI providers, repositories, communication platforms, plugins, marketplaces, APIs or software selected by you or your organization. Third-party services are not controlled by Langware and are governed by their own terms, licenses, privacy practices and availability. Langware is not responsible for third-party outputs, outages, changes, security, intellectual-property claims, account restrictions, blocking or suspension.
An integration may be community-developed, unofficial or unsupported by the operator of the connected service. You are responsible for determining whether an integration is authorized and appropriate and for complying with the connected service’s rules. Availability of code, instructions or a plugin through Flowpad does not constitute endorsement, authorization or a guarantee of continued access.
10. Updates
Flowpad may check for, download or install updates according to your settings and deployment. Updates may add, remove or change features and may be required for security, compatibility or continued access to hosted services. On customer-managed or air-gapped deployments, you or your organization are responsible for applying available security updates unless otherwise agreed.
11. Ownership and Feedback
Except for rights granted under open-source licenses and rights in user content, Langware and its licensors retain all rights in proprietary Flowpad software, hosted services, technology, designs, documentation, trademarks and improvements. If you provide feedback, you grant Langware a perpetual, irrevocable, worldwide, royalty-free right to use it without restriction or attribution.
12. Privacy
The Flowpad Privacy Policy explains how Langware handles personal data for which it determines the purposes and means. Your organization may separately control personal data processed through its deployment. Local-only use may limit data available to Langware, while hosted, support, diagnostic or integration features may transmit data as described in the Privacy Policy and applicable customer agreement.
13. Suspension and Termination
This EULA remains effective until terminated. You may terminate it by uninstalling proprietary Flowpad software and stopping use. Langware may suspend or terminate proprietary licenses or hosted access if you materially breach this EULA, create a security risk, use Flowpad unlawfully or lose authorization from your organization. Upon termination, stop using and delete proprietary software where required. Rights under applicable open-source licenses continue according to those licenses. Sections that by nature should survive will survive, including ownership, disclaimers, liability limits and general terms.
14. Disclaimers
To the maximum extent permitted by law, proprietary software, free features, beta features, AI outputs and third-party services are provided "as is" and "as available." Langware disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy and uninterrupted or error-free operation. Langware does not warrant that Flowpad will prevent data loss, security incidents, account restrictions or errors. Mandatory statutory rights remain unaffected.
15. Limitation of Liability
To the maximum extent permitted by law, Langware, its affiliates, licensors and personnel will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or loss of profits, revenue, business opportunity, goodwill or data, arising from this EULA or use of Flowpad, even if advised of the possibility. For free use, Langware’s aggregate liability will not exceed USD 100. For use under a paid customer agreement, the liability limit in that agreement applies. Nothing limits liability that cannot lawfully be limited.
16. Compliance
You will comply with applicable laws, export controls, sanctions, privacy obligations and your organization’s policies. You may not use Flowpad from prohibited jurisdictions or on behalf of restricted parties. You are responsible for licenses, permissions and notices required for content, integrations and connected systems.
17. Governing Law and General Terms
This EULA is governed by the laws of the State of Delaware, without conflict-of-law rules, and the state and federal courts located in the State of Delaware have exclusive jurisdiction, unless a mandatory law or signed customer agreement requires otherwise. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remainder remains effective. Failure to enforce a provision is not a waiver. Langware may assign this EULA to an affiliate or in connection with a merger, reorganization or sale of relevant assets.
Langware may update this EULA for future versions or material changes. Where renewed acceptance is required, Flowpad will present the updated EULA before continued use of affected proprietary software or services. Questions may be sent to legal@langware.ai.
